MillRight CNC Beta Software Testing Terms and Conditions

Last Updated: August 7, 2026

These Beta Software Testing Terms and Conditions (“Terms”) govern participation in beta testing of software, applications, utilities, post processors, artificial-intelligence features, documentation, installers, updates, and related software or services provided by MillRight CNC (“MillRight”).

By selecting “I Agree” or otherwise affirmatively accepting these Terms, you (“Tester”) acknowledge that you have read, understood, and voluntarily agree to these Terms. Any subsequent downloading, installation, access, or use of Beta Software is subject to these Terms.

1. THIS IS BETA SOFTWARE

THE SOFTWARE PROVIDED UNDER THIS PROGRAM IS BETA SOFTWARE. IT IS NOT A FINISHED PRODUCT AND SHOULD NOT BE EXPECTED TO OPERATE LIKE ONE.

MillRight has performed internal development and testing before making Beta Software available. However, the purpose of beta testing is to identify problems that have not yet been discovered.

Tester understands and agrees that Beta Software may contain bugs, programming errors, incorrect calculations, incomplete features, compatibility problems, unexpected behavior, or other defects.

In CNC-related software, such defects may have physical consequences. Among other things, Beta Software may:

  • generate incorrect or unsafe G-code;
  • command movement in an unexpected direction or to an unexpected position;
  • command excessive or incorrect feed rates, spindle speeds, depths, or other cutting parameters;
  • mishandle units, coordinate systems, offsets, tool information, work origins, or machine configuration;
  • create collisions involving the spindle, tool, workpiece, fixture, machine frame, automatic tool changer, rotary axis, or other equipment;
  • cause unexpected machine movement;
  • fail to stop or respond as expected;
  • crash, freeze, corrupt files, lose settings, or otherwise malfunction;
  • interfere with other software, drivers, peripherals, networks, or computer operation; or
  • produce results that appear reasonable but are nevertheless incorrect.

TESTER ACCEPTS THAT MACHINE CRASHES, BROKEN TOOLING, RUINED MATERIAL, DAMAGED EQUIPMENT, LOST WORK, COMPUTER PROBLEMS, PERSONAL INJURY, AND OTHER POTENTIALLY DANGEROUS CONSEQUENCES ARE FORESEEABLE RISKS OF PARTICIPATING IN THIS BETA PROGRAM.

2. TESTER EXPERIENCE, AGE, AND AUTHORITY

Tester represents that Tester is at least 18 years of age and has sufficient CNC knowledge and experience to understand the risks associated with CNC machinery and with testing pre-release CNC software.

Tester understands that CNC machines can cause serious property damage, bodily injury, or death if operated incorrectly or if commanded to make unexpected movements.

Tester is expected to recognize obviously unreasonable or dangerous commands, toolpaths, feeds, speeds, positions, depths, movements, or machine behavior.

Beta Software is not intended to substitute for the judgment of a knowledgeable CNC operator.

If Tester accepts these Terms on behalf of a company, employer, or other organization, Tester represents that Tester has authority to bind that organization to these Terms. Where applicable, references to “Tester” include that organization.

If Tester permits an employee, contractor, or other person to operate equipment using Beta Software or output produced by Beta Software, Tester is responsible for ensuring that person is qualified to do so and complies with these Terms.

3. TESTER IS RESPONSIBLE FOR VERIFYING ALL OUTPUT

TESTER MUST NOT ASSUME THAT G-CODE OR OTHER OUTPUT FROM BETA SOFTWARE IS CORRECT MERELY BECAUSE THE SOFTWARE GENERATED IT OR BECAUSE A VISUALIZATION, SIMULATION, PREVIEW, OR AI RESPONSE APPEARS CORRECT.

Before executing generated G-code or acting upon other machine-related output, Tester is responsible for independently reviewing and validating the output and determining that it is appropriate for the particular machine, controller, tooling, workpiece, workholding, coordinate system, and operating conditions.

Appropriate precautions may include:

  • reviewing the generated G-code;
  • reviewing toolpath visualization or simulation;
  • verifying machine units and coordinate systems;
  • verifying work offsets and tool offsets;
  • verifying tool dimensions and tool numbers;
  • verifying feed rates, spindle speeds, cut depths, stepovers, and other machining parameters;
  • confirming adequate workholding and machine clearances;
  • performing dry runs or air cuts when appropriate;
  • reducing feed rate during initial testing;
  • remaining at the machine with immediate access to feed hold and emergency stop controls; and
  • taking other precautions that a reasonably experienced CNC operator would use when testing an unproven program.

Tester remains solely responsible for deciding whether and how any output produced by Beta Software will be executed on physical equipment.

4. ASSUMPTION OF RISK

TESTER KNOWINGLY AND VOLUNTARILY ASSUMES ALL RISKS ASSOCIATED WITH INSTALLING, ACCESSING, TESTING, OR USING BETA SOFTWARE AND WITH RUNNING ANY G-CODE OR OTHER OUTPUT PRODUCED BY BETA SOFTWARE.

These risks include, without limitation:

  • damage to CNC machines or other machinery;
  • spindle, servo, motor, drive, controller, electronics, or accessory damage;
  • broken or damaged tooling;
  • fixture or workholding damage;
  • damage to workpieces, materials, or customer property;
  • machine collisions;
  • unexpected or uncontrolled motion;
  • fire or electrical damage;
  • personal injury or death;
  • computer crashes or operating-system problems;
  • loss or corruption of programs, files, settings, or other data;
  • cybersecurity or network-related problems;
  • lost production time;
  • lost profits or business interruption; and
  • other direct or indirect loss arising from Beta Software or its output.

Tester voluntarily chooses to participate in the beta program with knowledge of these risks.

5. RELEASE AND LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TESTER RELEASES AND AGREES NOT TO HOLD MILLRIGHT CNC, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND AGENTS LIABLE FOR CLAIMS, LOSSES, DAMAGES, INJURIES, OR EXPENSES ARISING FROM OR RELATED TO PARTICIPATION IN THE BETA PROGRAM, INSTALLATION OR USE OF BETA SOFTWARE, OR USE OF ANY OUTPUT PRODUCED BY BETA SOFTWARE.

THIS RELEASE IS EXPRESSLY INTENDED TO INCLUDE CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF MILLRIGHT OR THE OTHER RELEASED PARTIES, TO THE EXTENT SUCH CLAIMS MAY LAWFULLY BE RELEASED.

Nothing in these Terms is intended to release, exclude, or limit liability that applicable law does not permit to be released, excluded, or limited.

To the maximum extent permitted by law, MillRight will not be liable for consequential, incidental, indirect, special, exemplary, or punitive damages, including lost profits, lost revenue, lost production, business interruption, loss of data, loss of customer work, damage to workpieces, damage to tooling, or loss of machine availability.

If any liability cannot legally be excluded but may legally be limited, MillRight’s total aggregate liability arising from the Beta Software or beta program will not exceed $100.00.

6. NO WARRANTY

Beta Software is provided “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS.

To the maximum extent permitted by law, MillRight disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, noninfringement, compatibility, and uninterrupted or error-free operation.

MillRight does not warrant that:

  • Beta Software will operate correctly;
  • generated G-code or other output will be safe or correct;
  • Beta Software will be compatible with any particular machine, controller, computer, operating system, or other software;
  • files or projects created by one beta version will remain compatible with later versions;
  • Beta Software will remain continuously available;
  • particular features will be included in a final commercial release; or
  • a final commercial version will ever be released.

Features may be changed, removed, added, or substantially redesigned at any time.

7. COMPUTER AND DATA RESPONSIBILITY

Tester is responsible for maintaining appropriate backups before installing or using Beta Software.

Beta Software may change configuration files, create or modify project files, install supporting components, communicate with hardware or external services, or interact with other software.

Tester accepts the risk of data loss, corrupted files, operating-system instability, driver conflicts, application conflicts, or other computer-related problems.

Tester should not use the only copy of irreplaceable production files, customer data, machine configurations, or other important information when testing Beta Software.

8. TESTER CONTENT, PROJECT FILES, AND DATA HANDLING

Tester retains ownership of Tester’s pre-existing and independently created project files, designs, drawings, CAD files, CAM files, G-code, customer files, models, photographs, and other content submitted to or processed by Beta Software (“Tester Content”).

MILLRIGHT DOES NOT ACQUIRE OWNERSHIP OF TESTER CONTENT MERELY BECAUSE THE CONTENT IS OPENED, CREATED, PROCESSED, UPLOADED, TRANSMITTED, OR USED WITH BETA SOFTWARE.

Beta Software may collect or transmit technical information reasonably related to operation, licensing, support, security, and beta testing. Depending upon the particular software and features used, this information may include software version information, operating-system or device information, feature usage, diagnostic information, crash or error logs, licensing or authentication information, and information voluntarily submitted by Tester for support or beta testing.

Features that rely on cloud services, artificial intelligence, remote processing, or similar functionality may transmit information necessary to provide those features to MillRight or third-party service providers.

Tester is responsible for ensuring that Tester has the legal right and any necessary customer or third-party permission to upload, transmit, or disclose files, proprietary designs, personal information, confidential information, or other third-party content through Beta Software.

Where Tester voluntarily provides files, G-code, screenshots, logs, project files, or similar materials to MillRight for support, diagnosis, or beta testing, Tester grants MillRight permission to access, reproduce, analyze, and internally use those materials as reasonably necessary to investigate the issue, provide support, improve the software, and conduct the beta program.

This limited permission does not transfer ownership of Tester Content to MillRight and does not give MillRight a general right to commercialize Tester’s project files or customer designs.

Information collected through Beta Software may be collected, used, processed, stored, or transmitted by MillRight and its service providers as reasonably necessary to provide, operate, license, secure, support, diagnose, maintain, and improve the Beta Software and related services, and as otherwise required or permitted by applicable law.

9. AI FEATURES AND MILLIE AI

Some Beta Software may include access to Millie AI or other artificial-intelligence features.

AI-generated information, settings, toolpaths, parameters, instructions, code, or G-code may be inaccurate, incomplete, inappropriate, misleading, or unsafe.

AI-GENERATED OUTPUT MUST BE INDEPENDENTLY REVIEWED AND VALIDATED BEFORE IT IS USED TO OPERATE MACHINERY OR RELIED UPON FOR A SAFETY-CRITICAL PURPOSE.

Tester understands that AI systems may produce an incorrect answer even when that answer appears confident, detailed, or plausible.

Some AI functionality may require information to be transmitted to third-party AI, cloud-computing, hosting, or other service providers as necessary to provide the feature.

PARTICIPATION IN A BETA TEST DOES NOT GRANT PERMANENT OR ONGOING FREE ACCESS TO MILLIE AI.

Unless MillRight expressly agrees otherwise in writing, Millie AI and other cloud-based, usage-based, subscription-based, or consumption-based AI services are excluded from any complimentary perpetual or permanent software access later granted to a beta tester.

MillRight may impose usage limits, subscription requirements, fees, credits, availability restrictions, or separate terms for Millie AI or other AI services.

10. BETA ACCESS IS INDIVIDUAL AND REVOCABLE

Access to the beta program is granted by MillRight on a case-by-case basis.

Beta access is personal to the approved Tester and may not be sold, transferred, sublicensed, shared, loaned, or otherwise made available to another person or organization without MillRight’s permission.

Tester may not share license keys, activation information, accounts, credentials, installers, private download links, or other access mechanisms.

Participation in the beta program does not create any entitlement to:

  • future beta versions;
  • a commercial license;
  • permanent or perpetual access;
  • free upgrades;
  • continued technical support;
  • Millie AI access; or
  • any particular feature or product.

MillRight may suspend or terminate beta access at any time.

11. FEEDBACK REQUIREMENT FOR COMPLIMENTARY PERMANENT ACCESS

The purpose of the beta program is to obtain meaningful real-world testing and feedback.

Tester agrees to make a good-faith effort to report significant bugs, unexpected behavior, usability problems, compatibility problems, inaccurate output, and other useful observations encountered during testing.

Useful feedback may include descriptions, screenshots, example files, G-code, machine information, reproduction steps, logs, workflow observations, or other information reasonably necessary for MillRight to understand a reported problem.

MEANINGFUL PARTICIPATION AND FEEDBACK ARE A CONDITION OF ELIGIBILITY FOR COMPLIMENTARY PERMANENT OR PERPETUAL ACCESS TO MILLRIGHT SOFTWARE.

A Tester who merely downloads, installs, or uses Beta Software without providing meaningful feedback is not entitled to complimentary permanent access.

MillRight will determine, in its reasonable discretion, whether a beta participant has meaningfully participated and provided sufficient feedback to qualify for any complimentary license.

Even where meaningful feedback has been provided, the granting of complimentary permanent access remains within MillRight’s discretion unless MillRight has expressly promised such access in writing.

Any complimentary permanent or perpetual license applies only to the particular software, product, version, or entitlement identified by MillRight.

Unless MillRight expressly states otherwise in writing, complimentary permanent software access does not include ongoing free access to Millie AI or other cloud-based, usage-based, subscription-based, or consumption-based services.

12. OWNERSHIP AND USE OF FEEDBACK

Tester may provide suggestions, ideas, bug reports, workflow recommendations, feature requests, comments, proposed improvements, or other feedback specifically relating to Beta Software (“Feedback”).

Tester grants MillRight a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, incorporate, commercialize, publish, distribute, and otherwise use Feedback for any lawful purpose without compensation or obligation to Tester.

For clarity, Feedback does not include Tester’s underlying project files, customer files, drawings, designs, models, G-code, photographs, or other pre-existing or independently created intellectual property merely because those materials are submitted as part of a bug report, support request, or example.

For example, if Tester submits a customer DXF file to demonstrate a software bug, MillRight may use that file as reasonably necessary to reproduce and investigate the problem under Section 8, but the DXF itself does not become MillRight property or unrestricted Feedback.

Ideas, recommendations, proposed features, suggested workflows, bug descriptions, and other concepts communicated to MillRight about how its software could be changed or improved are Feedback and may be used by MillRight as described above.

13. SOFTWARE OWNERSHIP AND LIMITED LICENSE

Beta Software is licensed, not sold.

MillRight and its licensors retain all right, title, and interest in the Beta Software, including its source code, object code, user interface, algorithms, architecture, documentation, trademarks, copyrights, trade secrets, and other intellectual property.

Subject to compliance with these Terms, MillRight grants Tester a limited, revocable, nonexclusive, nontransferable license to install and use Beta Software solely for authorized testing and evaluation and for any other use expressly approved by MillRight.

Unless otherwise stated, Tester may use G-code, project files, drawings, or other ordinary production output created through authorized use of the Beta Software, but does so entirely at Tester’s own risk and subject to Tester’s verification obligations under these Terms.

14. NO REVERSE ENGINEERING, CRACKING, CIRCUMVENTION, OR DISTRIBUTION

Except to the limited extent that applicable law expressly prohibits such a restriction, Tester agrees that Tester will not, directly or indirectly:

  • reverse engineer the Beta Software;
  • decompile or disassemble the Beta Software;
  • attempt to derive or obtain its source code;
  • bypass, defeat, disable, circumvent, or tamper with licensing or activation mechanisms;
  • bypass access controls, security mechanisms, usage restrictions, or technical protections;
  • crack or modify the software to remove restrictions;
  • alter the software for unauthorized distribution;
  • copy or reproduce the Beta Software except as reasonably necessary for authorized use;
  • distribute, upload, publish, sell, rent, lease, sublicense, lend, transfer, or give the Beta Software to another person;
  • share private installers, builds, license keys, activation codes, credentials, accounts, or download links;
  • access or attempt to access MillRight systems, APIs, services, data, or functionality beyond the access intentionally provided to Tester;
  • conduct security testing, vulnerability probing, or similar activity against MillRight systems without prior written authorization;
  • use the Beta Software or access to the beta program to create or assist in creating an unauthorized competing copy or substantially similar derivative product; or
  • permit or assist another person to perform any prohibited activity.

Tester acknowledges that Beta Software may contain valuable copyrighted material, confidential information, and trade secrets.

Unauthorized copying, access, circumvention, disclosure, or distribution may constitute a breach of these Terms and may also violate applicable copyright, trade-secret, computer-access, or other laws.

MillRight reserves all remedies available under applicable law, including injunctive relief and monetary damages. Certain unlawful conduct may also carry civil or criminal penalties independently of these Terms.

15. CONFIDENTIALITY OF NONPUBLIC BETA MATERIAL

Unless MillRight identifies a particular beta release or information as public, Tester will treat nonpublic Beta Software and related nonpublic information as confidential.

Tester will not publicly distribute or disclose private builds, unreleased features, internal documentation, license information, private download links, development materials, unreleased screenshots, or other information that MillRight has not made publicly available or authorized Tester to disclose.

Tester may communicate freely with MillRight about the Beta Software and may provide requested testing information to MillRight.

Information that MillRight has already made publicly available through no violation of these Terms is not confidential under this section.

Authorized Public Reviews and Demonstrations

MillRight may expressly authorize a Tester to publicly demonstrate, review, discuss, photograph, record, stream, or publish content concerning Beta Software.

Such authorization may be provided in writing, including by email or other electronic communication.

Permission to publicly discuss or demonstrate one product, build, version, or feature does not constitute permission to disclose other nonpublic MillRight software, features, information, or materials.

Public-review permission does not otherwise waive the confidentiality requirements of these Terms.

16. SAFETY REMAINS THE OPERATOR’S RESPONSIBILITY

Nothing provided by MillRight constitutes a representation that a particular machining operation is safe.

Tester is responsible for machine guarding, emergency-stop functionality, workholding, tooling, dust collection, fire prevention, electrical safety, appropriate personal protective equipment, safe operating procedures, and compliance with applicable requirements for the machine and associated equipment.

Tester agrees not to rely on Beta Software as a safety system, machine-guarding system, collision-avoidance system, or substitute for appropriate operator supervision.

TESTER SHOULD EXPECT THAT BETA SOFTWARE MAY FAIL AND SHOULD OPERATE MACHINERY ACCORDINGLY.

17. INDEMNIFICATION

To the maximum extent permitted by law, Tester agrees to defend, indemnify, and hold harmless MillRight and its owners, officers, employees, contractors, affiliates, licensors, service providers, and agents from third-party claims, damages, liabilities, costs, and reasonable legal expenses arising from:

  • Tester’s violation of these Terms;
  • unauthorized distribution, copying, disclosure, or sharing of Beta Software;
  • Tester’s misuse of Beta Software;
  • Tester’s use of Beta Software in violation of law;
  • Tester’s submission of files, information, or content that Tester did not have the right to provide;
  • operation of machinery using Beta Software or its output by persons under Tester’s control; or
  • Tester’s modification or unauthorized integration of Beta Software.

This provision does not require Tester to indemnify MillRight for liability that applicable law prohibits MillRight from shifting to Tester.

18. TERMINATION

Tester may discontinue participation in the beta program at any time.

MillRight may terminate or suspend Tester’s beta access at any time, with or without cause, including for violation of these Terms, lack of participation, misuse of the software, security concerns, expiration of a testing period, or completion of the beta program.

Upon termination, Tester must stop using Beta Software and, if requested by MillRight, uninstall or destroy nonpublic beta builds and associated access credentials.

Termination of beta access does not automatically revoke any separate permanent or perpetual license previously and expressly granted by MillRight unless that separate license provides otherwise or was obtained through fraud or violation of these Terms.

Sections concerning intellectual property, confidentiality, Tester Content, Feedback, limitation of liability, release, indemnification, and other provisions that by their nature should survive termination will remain effective.

19. CHANGES TO BETA SOFTWARE AND BETA PROGRAM

MillRight may change the Beta Software, testing requirements, availability, licensing system, supported hardware, supported controllers, features, pricing, or beta program at any time.

A beta feature, workflow, compatibility claim, or entitlement should not be interpreted as a promise that the same feature or entitlement will exist in a later beta or commercial release.

Beta builds may expire or cease functioning and may require replacement with a newer beta or commercial version.

20. UPDATES TO THESE TERMS

MillRight may revise these Terms as the beta program, software, applicable requirements, or MillRight’s practices change.

The date or version of the applicable Terms will be identified when reasonably practical.

If MillRight makes a material change to these Terms, MillRight may require Tester to review and affirmatively accept the revised Terms before Tester may continue accessing or using Beta Software.

Tester is not required to accept revised Terms. If Tester does not agree to a required revision, Tester’s beta participation may end and Tester must discontinue use of Beta Software governed by the revised Terms.

Minor administrative, formatting, contact-information, or clarifying changes that do not materially alter Tester’s rights or obligations may be made without requiring new affirmative acceptance.

21. GOVERNING LAW AND VENUE

These Terms and any dispute arising from them or from participation in the beta program will be governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms will be brought in a court of competent jurisdiction in the State of Georgia, except where applicable law requires otherwise.

22. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

23. ENTIRE AGREEMENT

These Terms constitute the agreement between Tester and MillRight regarding participation in the beta program unless MillRight and Tester enter into a separate written agreement that expressly supersedes these Terms.

No oral statement, support conversation, beta invitation, marketing statement, or other communication modifies these Terms unless MillRight expressly agrees to the modification in writing.

24. ELECTRONIC ACCEPTANCE AND RECORDS

Tester agrees that selecting an electronic checkbox or button indicating acceptance of these Terms constitutes Tester’s electronic acceptance of and agreement to these Terms.

MillRight may maintain records documenting acceptance of these Terms, including the identity or account of the Tester, date and time of acceptance, version of the Terms accepted, and other technical information reasonably useful to document the transaction.

Tester agrees that electronic records of acceptance may be used to demonstrate that Tester agreed to these Terms.
